What materials are Ascent made of?
The surface of the slats has the option to be either oak or ash plywood. Oak is standard, Ash upon request. Maple is an additional standard option in the US only.
Made from 100% certified sources.
The beech core veneer is from 100% certified sources.
Adhesive with low formaldehyde and VOC content.
The beam/legs contain more than 90% recycled post-consumer steel.
We use anodized aluminum as connectors.
Small parts are coated with FZB Natural (Grey).
The plastic details of Ascent are made of Black OceanIX (recycle plastic).

Stability tests
Ascent has not yet been put through a stability test and is in the process.
Electricals
The chargers are mounted directly on the modules and the cables will be pre-drawn and connected to the chargers. The client will be able to connect the cables on each side of the module when putting together the modules.
Installation
We count on two people taking 15-20 minutes per Ascent module for a rough estimate. This includes taking the modules from the pallet, mounting the loose parts ( legs and add-ons), and putting them together to a configuration. We recommend you always be a minimum of two people since the modules are big.
The estimate does not include packaging handling since it depends on the space and experience. In many cases, the client can estimate this more than us. We can always provide you with the information about the package.
The modules are not wrapped in any plastic or anything similar.
The package/pallet contains:
– wooden pallet 2300mmX1500mm. You can use one or two hand trucks for this.
– everything is wrapped in cardboard
– several modules are stacked on each other and tied with a plastic band
– the legs are screwed into the pallet with a wooden screw ( 1-2 per leg )
– other loose parts are swept in plastic or placed in a box.
Each pallet contains up to 4 modules, depending on the possibility to stack.
Maintenance
We have two different maintenance kits (depending on if you have single coloured or mixed coloured slats). These sets are suitable as a start for regular cleaning and small repairs. A bigger volume of hard wax oil can be purchased through Green or a local Rubio dealer.

When you clean the furniture, use Rubio Soap weekly or when needed. DO NOT USE DETERGENTS; this will remove the protecting wax layer.
Scratches
Scratches can be fixed and filled using wax oil (RMC Oil Plus 2C of your colour(s). The estimated time is 5-10 min man time per meter. The drying time is 12 hours. Do this every 12 months or when needed.
How much Rubio is needed for maintenance?
Initial treatment (in factory): Minimum 1 liter Rubio RMC 2C for 25-meter seating.
Maintenance (on-site): Minumum 1 liter Rubio RMC 2C for 250 meters Nova C.
Damages
Ribs and arms can easily be replaced if they’re damaged. We recommend ordering a few parts to keep in-site to replace quickly.
Change of rib
The estimated time to change one rib is 5 min. Ask sales for the price of the new rib.
Cleaning
Rubio Soap (for regular cleaning, concentrate, hence more economically)
Rubio Surface Care (Very suitable for cleaning of smaller surfaces, before using the small bottles with RMC Oil Plus 2C, of your colour and to remove local stains)
RMC Oil Plus 2C
The RMC Oil Plus 2C is flammable and used cloths may self-combust. Instruction on what to do with the clots after using the RMC Oil Plus 2C:
– swamp the cloth in water and put it in a plastic bag or
– put in a container that is flameproof.
Full cleaning and maintenance by the Nova C Manual (link to manual). When you repair small scratches you do not need component B showing in the manual, that is why this bottle is not included in the small maintenance kit. You only need the RMC Oil Plus 2C that the small bottles contain.
Removal of graffiti and other difficult stains
Use a white cleaning sponge (‘magic sponge’) for removing marker pen, crayon stains, shoe scuffs, etc. Use only water and clean afterward with the cleaning soap or Surface Care from Rubio Monocoat. If the stain goes away when rubbing gently, no need for re-waxing. You may need to rub harder and for a long time – if you see a colour difference where you have rubbed, then treat with the wax oil afterwards (Oil Plus 2C of your colour(s)).

Extensive rib damage – need for sanding or changing the ribIf you have deep a scratch or graffiti that the magic sponge does not take, you may want to sand the surface. Take it easy; the surface veneer has a thickness of 0,6mm (an easy option is to change the rib – order spares from info@greenfc.com if you do not have them on-site). How the wood is sanded will affect how much colour it will take when rewaxed. Use sanding paper grit size 100 (?) and work a larger area (not just where the scratch place) and ‘fade out’ the sanding area to achieve even colour result when rewaxed with RMC Oil 2C as by the Ascent Manual. You can order spare ribs with a delivery time of approximately a month. The price depends on the model. Ask sales for price and lead time.
Stains from alkaline e.g., rust stains, radiator water, urine, fertilizers, etc.?
– use Rubio Lime Spot Remover
Black/tannin stains, e.g., rings/stains from cans, flower pots, etc.?
– use Rubio Tannin Remover. Use this after water damage too.

What materials are Nova C made of?

The wood

You can get any colour using the Rubio hard wax. The hardwax Rubio 2C – can be mixed for any approximate RAL colour. Mixed colours come at an additional cost. As the underlying wood has a natural variation, the finished wood will also have natural variation, contributing to live furniture. Natural colours are obtained in one single treatment. (colours often appear more intense on a computer screen)
The metal

More intense colours need extra treatment. This can be done with a double treatment in one of two ways:
Water treatment
We prefer water treatment since it’s easier to maintain and has less chemicals.
Special treatment is to treat the ribs with water, let dry (fibers raise) and then break the fiber tops gently with a very fine paper. with no additional chemical added, this is a way of making the wood more receptive to the coloured wax.
No extra chemical is needed, but it requires a higher amount of the Rubio wax. Ask sales for price.

Electrical
After fastening the drawbolt catch, you can click together the Wieland-connectors. The chargers are mounted directly on the modules, and the cables will be pre-drawn and connected to the chargers. You will receive an assembly drawing and information with each order with which cables to use where.
Electrics installation procedure (pre-cut cable kits):
The modules come with cables underneath the seating on the side you chose for drawing in power. If this connection point has not been decided beforehand, cables will be on the side for you to put on the right side. Put the modules in place and connect the cord on each module with the connector block on the next module. Connect the starter cable to the connector block next to the power supply, and connect to power (this step is to be checked by the electrician).
Installation
Delivery format: The furniture modules are delivered assembled, and packaged on lightweight wooden pallets per module. Snapping the modules together according to assembly/mounting drawing is quick. Liftoff, rolling to place, unpacking, and recycling package material (plastic and wood) takes the most time.
Seating unwrapping and putting in place
Count 10-20 man minutes per seat (excl bolting if needed, see further information below), including rolling out, unwrapping, and packaging material disposal. The time mainly depends on building logistics, accessibility, and size.
Seating Installation procedure
– liftoff the pallets from the trailer (forklift needed if not freight with tail lift ordered from Green)
– unwrap the package
– pull pallet to the installation place with a pallet truck
– unscrew everything from the pallet (2 pcs, Torx)
– liftoff and put everything in the right place according to the numbers on the drawing
– adjust snap locks and snap together.
– Bolting: Small formations (8-10 seats or less) can be pushed off place – to fix them, and you can specify if you want predrilled holes in the feet in the order. All feet will have holes if not anything else is specified. Minimum two bolts per formation needed, preferably by the starter cable for connected benches). Ask sales for price.
– Nonslip glides: An alternative to bolting is to specify ‘Nonslip glides’ in the order – these modules will be equipped with rubber feet. Ask sales for price.

Note- We have tested the Tannine Remover on iron/rust-related black stains that magically disappeared (after some soaking time, it is not instant). Read the instructions – you may need to replace the affected rib and bring it home for treatment.
How to move the seating
Modules are easy to unsnap (snapping video here Link to youtube) and move for maintenance (moving video here Link to youtube):
Modules can be pushed small distances on the floor as they have plastic ‘gliders’ . Be sure to lift over tile borders and do not push in high speed – a bench in movement is a lot of energy and if the legs are pushed with speed against a rim you may break the screws holding the legs.
Efficient roll away of Nova C Double
Moving Nova C Double is very efficient with a pallet truck/puller and simple construction of two EU Pallets with two 130cm long planks (12-16mm thick) on top. Just push in, lift 1cm, and the module will ride with the bottom rim of ribs against the planks.
For curved Nova C Double EU Pallets are too wide and need to be modified in width, but also this is a simple operation for any facility caretaker
Bolting to floor
Only small formations need to be bolted to the floor; the others stay in place by their weight.
Use of surface disinfectants on ribs (healthcare)

We are just as good or better than the competitors there
– the Nova C has more ribs but no beam underneath (that collects dirt and is difficult to reach)
– the Ascent series is specially made with cleaning in mind – large and easy surfaces to clean
Wash with soap and water
Soap and water are good for cleaning and removing the majority of bacteria and viruses, but not to the extent of ‘disinfection’. Removes ‘biofilm’ (layers of dirt that can contain bacteria and viruses). This is needed prior to by-the-book disinfection.
Disinfection
Use Propanol: All propanol-based surface disinfectants are OK for use on the Green furniture.
Not Ethanol: There are two main disinfectant types used in Europe – Ethanol and Propanol based. They are equally efficient, priced, and good to work with. Healthcare contacts we’ve had have always been OK to go totally for propanol, removing the ethanol from the cleaning tray.
Disinfection news
Peroxide-based surface disinfectants are also ok with Rubio up to a concentration of 5% if it’s applied for 5 min and then rinsed with water.Chlorine (Hypochlorite) based surface disinfectants are also ok with Rubio up to a concentration of 1000ppm if it’s applied for 5 min and then rinsed with water. You will find certificates from Rubio on all three substances here Peroxide and Chlorine go under the popular name Bleach. We do not recommend them as they are less good for the environment and cleaners, and Propanol does the disinfection just as good. But they are the only thing used on some markets, and now we can sell sustainable placemaking seating there.
Chlorine dioxide: A new substance that should be ok and environmentally friendly, but yet to be investigated.

Buyback System
Products are valuable assets throughout their whole lifecycle. We want to keep these assets in use for as long as possible, even when not needed in the first location. To do this, we offer to buy back our products, refurbish them, and put them back on the market again. The Buyback System is active for all seat modules in our Nova C Series for our European customers. Depending on the state of the furniture and how well they have been maintained, the Buyback percentages will vary. We can handle the maintenance through our Maintenance Service.

Electrical
Electrical load is max 6 x 25 W (standard E27 fitting, max 25W)
We do not deliver the light bulbs and end electrical plug (as we deliver globally).
Choose LED Globe bulbs (Ø app 9-12cm), colour warm white 2700K, around 1500 lumen or more, for example, Philips E27 16,5W 827 LED-globe matt.
Leaf Lamp Tree M & L comes with a birdhouse that houses the electric connections
There is one 7m white textile 2-pole power connection cable from the birdhouse and the total diameter of the cable is 8 mm.
Leaf Lamp Tree S, M & L
Cable from the ceiling (recommended)
or horizontally as an air wire. On approximately 3,5m height, put a little bird on it, and it will result in a nice installation)
or following through the trunk down to a floor connection point only for LLT M and L with birch trunk. Leaf Lamp Tree S: The cord is guided to an electrical outlet in the ceiling or outside the trunk to an electrical outlet in the ground.

Installation
Each lamp comes in a pallet box of 80x120x100cm with assembled branches. For freight space reasons, two of the five main branches are on the side of the lamp in the box – they should be put in place (dot by the hole to match the location of the dot on the branch) and a screw to be tightened each branch.
Assembly time if ordered without “Branches assembled”
For one person, count approximately 2 hours for the first unit (130), 1 hour for the following 10-20 units, then 30-40 minutes per unit.
Number of Units (clusters) of 130 per Tree:
Leaf Lamp Tree M (230) – 4 Units
Leaf Lamp Tree L (300) – 6 Units
Comments on the base plate, base plate extension, and unassembled branches:
– The Baseplate is used to bolt the trunk/Tree to the floor
– The Baseplate extension is optional and is only needed if the floor does not permit bolting to it.
– Unassembled Branches or pre-assembled branches – assembly of branches and leaves can also be done on sight by your personal. See instructions in the manual. Link to manual. You will receive an “assembly discount” for trees and pendants when ordering flat-packed branches and leaves. Delivered in flat packages means that the foliage is less sensitive to transport damage and can be packed 12 times more efficiently than pre-assembled lamps.
Hang the Leaf Lamp Pendant with the rope, cut off excess rope length if applicable. The electric cable has two loose ends; a plug needs to be added by the electrician on-site (as the lamps are delivered globally). Cut off excess cable length if applicable.

The Leaf Lamp Tree M and L are modular products where each main branch (“XL branch”) comes with its electric wire. The wires from each branch will be connected through Weiland connections onto the main trunk (the connections will be hidden in a wooden birdhouse) by an on-site electrician. One wire is then drawn from the Tree connection point to connect to electricity in the building; see recommended alternatives under section electrical. All electrical installations need to be done by a certified electrician on site.
Estimated time for assembly
You can count approximately half a day of work for two people setting up a Leaf Lamp Tree M or L if you ordered with ‘Branches assembled,’ including the installation from the electrician.
Bolting of Leaf Lamp Tree S to the floor
The feet of these S trees do not have holes for bolting, and they will not fall unless someone deliberately pushes them over – in most places, it does not need bolting. Here is how you make the holes:
1. Drill three holes of Ø8mm at app 5 cm from the rim of the ground plate of the foot, evenly spread (at “4, 8, and 12 o’clock”).
2. Three concrete anchors in plastic or metal matching a Ø6mm screw, drill through the terrazzo tiles into the concrete for the concrete anchor to be entirely in the concrete.
3. Three screws of Ø6mm with washer matching the concrete anchor, long enough to go through the tiles and well into the concrete.
Maintenance
Here’s how you clean the foliage of Leaf Lamp Trees: Blow off with an electric leaf blower every 6-12 months, off-hours – make the leaves rattle. A little bit brutal but very efficient and quick. The more often this is done, the easier and faster it is to get off the dust. Do not use a vacuum cleaner as it will suck in the leaves and destroy the product. How to dust the Leaf Lamp
All lamps need cleaning of some sort. Leaf Lamp does not have a “fly problem” as it has an open structure. The wool felt in the Leaf Lamp also enjoys the benefit of the wool as being non-static (does not attract dust), and the unbleached colour of the leaves has a “dust colour and structure.” When dusting the Leaf Lamp, use the large-scale method that shopping malls and airports use: high-pressure air (from a ladder) or an electric leaf blower (from the ground). You can dust off the whole lamp efficiently in one minute. The small-scale method or by 24/7 open locations is to use a feather duster.

You can get any colour using the Rubio hard wax. The hardwax Rubio 2C – can be mixed for any approximate RAL colour, and comes with an additional cost. As the underlying wood has a natural variation, the finished wood will also have natural variation, contributing to live furniture. Natural colours have one single treatment. Note: Colours often appear more intense on a computer screen and look slightly different.

Electrical
Electrical load is max 6 x 25 W (standard E27 fitting, max 25W)
We do not deliver the light bulbs and end electrical plug (as we deliver globally).
Choose LED Globe bulbs (Ø app 9-12cm), colour warm white 2700K, around 1500 lumen or more, for example, Philips E27 16,5W 827 LED-globe matt.
Leaf Lamp Link Tree M & L come with birdhouse that houses the electric connections.
From the birdhouse there is one 7m white textile 2-pole power connection cable, the total diameter of the cable is 8 mm. Power can be taken:

2) horizontally as an air wire (on app 3,5m height, do put a little bird on it and it will be a nice installation) or

Installation
Assembly time: count app 2 hours for the first Unit (130), 1 hour for the following 10-20 units that a person does, then 30-40 minutes per unit.

Comments on base plate, base plate extension and unassembled branches
– The Base Plate is used to bolt the trunk/Tree to the floor
– The Base plate extension is optional, needed only if the floor does not permit bolting to it.
– Unassembled Branches or pre assembled branches – assembly of branches and leaves can also be done on sight by your personal. See instructions in the manual…. Link to manual. If flatpacked branches and leaves are ordered an “assembly discount” for trees and pendants will be given. Delivered in flat packages, means that the foliage are less sensitive to transport damage and can be packed 12 times more efficiently than pre-assembeled lamps.
The Leaf Lamp Link Tree M and L are modular products where each main branch (“XL branch”) and come with its own electric wire. The wires from each branch are to be connected through Weiland connections onto the main trunk (the connections will be hidden in a wooden birdhouse) by an electrician on site. One wire is then drawn from the Tree connection point to connect to electricity in the building, see recommended alternatives under section electrical. All electrical installations at place needs to be done by a certified electrician on site.
You can count app half a day work for 2 people setting up a Leaf Lamp Tree M or L when received with ‘Branches assembled’, including electrical installation (done by an electrician)
Bolting of Leaf Lamp Link Tree S to the floor
The feet of these S trees do not have holes for bolting, and they will not fall unless someone deliberately push them over – in most places it does not need bolting. Holes can be made like this
1. Drill 3 holes of Ø8mm at app 5 cm from the rim of the ground plate of the foot, evenly spread (at “4, 8 and 12 o’clock”).
2. Three concrete anchors in plastic or metal matching a Ø6mm screw, drill through the terrazzo tiles into the concrete for the concrete anchor to be entirely in the concrete.
3. Three screws of Ø6mm with washer matching the concrete anchor, long enough to go through the tiles and well into the concrete
Maintenance
Short on cleaning foliage:
Leaf Lamp Trees: To be blown off with electric Leaf Blower every 6-12 months, off-hours – make the leaves rattle. A little bit brutal but very efficient and quick. The more often this is done, the easier and quicker to get off the dust. (NO VACUUM CLEANER, that would suck in the leaves.)

How do you dust the Leaf Lamps?
All lamps have a cleaning need of some sort. Leaf Lamp do not have a ‘fly problem’ as it has an open structure. The wool felt in the leaves in the Leaf Lamp also enjoy the benefit of the wool as being non-static (does not attract dust) and the unbleached colour of the leaves have a ‘dust colour and structure’.
When need for dusting, the large scale (shopping mall / airport) method is to use high pressure air (from a ladder) or an electric leaf blower (from the ground) – one whole lamp can be efficiently blown off in a minute from a point below the lamp.
The small scale method or by 24/7 open locations is to use a feather duster.

Cleaning: To be washed with Rubio Soap (NO DETERGENTS, this will remove the protecting wax layer) weekly or when needed.
Scratches: Scratches to be filled in with wax oil (RMC Oil Plus 2C of your colour(s). Count 5-10 min man time per meter, drying time 12 hours, to be done app every 12 months or when needed.
Cleaning
Rubio Soap (for regular cleaning, concentrate, hence more economically).
Rubio Surface Care (Very suitable for cleaning of smaller surfaces, before using the small bottles with RMC Oil Plus 2C, of your colour and to remove local stains)
RMC Oil Plus 2C
The RMC Oil Plus 2C is flammable and used cloths may self combust. After using the RMC Oil Plus 2C
– swamp the cloth in water and put in plastic bag or
– Put in a container that is flameproof.
Full cleaning and maintenance by the manual (link to manual). When you repair small scratches you do not need the component B showing in the manual, that is why this bottle is not included in the small maintenance kit, you only need the RMC Oil Plus 2C that the small bottles contain.
Removal of graffiti and other difficult stains
Use white cleaning sponge (‘magic sponge’) for removing marker pen, crayon stains, shoe scuffs, etc. Use with only water and afterwards clean with the cleaning soap or Surface Care from Rubio Monocoat. If the stain goes away when rubbing gently, no need for re waxing. You may need to rub harder and for long time – if you see a colour difference where you have rubbed, then treat afterwards with the wax oil (Oil Plus 2C of your colour(s)).

Stains from alkaline e.g. rust stains, radiator water, urine, fertilizers, etc.

Installation Planters: The planters have as standard full depth, meaning almost the same depth as outside height. There’s plenty of room and potential for growing big plants. (Our plants at Green Place in Malmö have practically climbed to the 5,5m ceiling clinging on wires from above.)
Please send us a specific depth if you require the bottom set to a higher level. Additional setup fee per order. (no discount applies)
What do I fill the planter with?
We recommend filling the whole planter with pumice gravel instead of soil – pumice gravel will soak water from the bottom and accumulate a lot of water – watering once a month is enough. (pumice gravel is different from Hydrograins, do a google image search. You will recognize the difference. Hydrograins will not transport water from the bottom – would need Mona Link irrigation system, ask sales for price.)
Check with a local gardener/flower shop for recommendations on plants and gravel size and water amounts for different plants – you have room for a tree to grow over the years…! An alternative to filling the planters is to place pots into the planter. This solution needs more frequent watering but is more flexible when moving planters and changing plants. If you have ordered standard deep planters, you can place the pots into boxes or similar inside the planter.
Is there a risk for leakage?
The planters are water-tight and water tested at the factory before shipping. When planting, do not use metal gardening equipment as this may damage the protecting layer of paint, which could cause corrosion over the years.

General terms and conditions
1. Applicability and definitions
1.1 These General Terms and Conditions shall be applied upon sale of the Product and constitute an integrated part of the Contract. In the event of any discrepancy between the contents of the Contract in other respects and these General Terms and Conditions of Sale, the contents of the Contract shall prevail.
1.2 If, after the Contract has been made, the parties agree on optional services or delivery of goods in addition to that explicitly stated in the Contract, these General Terms and Conditions shall also apply to such optional services or delivery of goods, regardless of whether or not any reference is made to these General Terms and Conditions in connection with such agreement.
1.3 For the purposes of these General Terms and Conditions, the following words and phrases shall be defined as follows unless the context or circumstances obviously indicate otherwise:
Contract: Means an oral or written agreement between the seller and a buyer, usually comprising the seller’s quotation and order confirmation, including appendices and agreed amendments.
Buyer: Means a buyer of the Product
Product: Means the item or items, including documentation, and any optional services, that the Seller is obliged to deliver under the Contract.
Seller: Means Green Furniture Concept AB.
2. Tender, price and payment
2.1 All prices are quoted DAP (”Delivered At Place”) and include the costs of such packing materials that may be deemed necessary under normal transport conditions. Value added tax and any other taxes, fees, or customs duties will be charged in addition to quoted prices.
2.2 The Seller shall have the right to change prices due to changes in exchange rates, taxes, fees, or customs duties.
2.3 The term of validity of a quotation submitted by the Seller shall be stated in the Seller’s quotation.
2.4 Payment shall be remitted under the terms stated in the Seller’s order confirmation.
2.5 The Seller shall have the right to charge penalty interest on all past due payments in accordance with the Swedish Interest Act at an annual interest rate of ten (10) percent plus statutory reminder fees and collection fees, including debt recovery costs.
2.6 If payment in advance is required and the Buyer fails to remit payment when due, the Seller shall have the right, after having notified the Buyer in writing, to suspend its performance of the Contract until payment in full has been made and, where applicable, to withhold other deliveries to the Buyer during the period that the Buyer is in arrears.
2.7 The Buyer shall not have the right to withhold any part of payment to offset any claim the Buyer may have against the Seller.
2.8 The Seller reserves the right to carry out a customary credit check prior to delivery and, if necessary, to require guarantee of payment.
3. Amendments to the Contract
3.1 Cancellations, order changes, changes to drawings, or other amendments to the Contract that the Buyer wishes to make after the Contract has been made shall be valid only if agreed by the parties in writing. In connection with agreed amendment of the Contract, the Seller shall be entitled to reimbursement for costs incurred by the Seller by reason thereof.
3.2 The Seller reserves the right to make minor changes to the Product if so required for technical manufacturing reasons or consequent upon the producer having modified the design of the Product.
4. Product information
4.1 Information included in general product information or marketing materials, such as websites (e.g., greenfc.com), catalogues, brochures and price lists are not part of the Contract unless expressly stated to the contrary.
4.2 Unless separately agreed otherwise, samples and prototypes shall be regarded as only samples and prototypes and the Seller does not warrant or represent that samples and prototypes will be identical to the goods delivered.
4.3 Upon request by the Buyer, the Seller shall furnish to the Buyer assembly and care instructions for the Product, in printed or electronic form, if such assembly and/or care instructions are available for the Product.
5. Reservation of ownership
5.1 The Product shall remain the property of the Seller until the Buyer has remitted payment in full, to the extent such reservation is valid under law.
5.2 The parties agree to cooperate concerning all measures necessary to protect the Seller’s ownership of the Product.
6. Delivery and transfer of risk
6.1 Unless the parties have agreed a separate delivery clause in writing, delivery shall be DAP (”Delivered At Place”), as set forth in the most recent edition of INCOTERMS. If a different delivery clause has been agreed in writing, it shall be construed in accordance with the edition of INCOTERMS that was the most recent edition at the date the Contract was made. Risk associated with the Product shall be transferred to the Buyer in accordance therewith.
6.2 The delivery date shall be stated in the Seller’s order confirmation.
7. Delayed delivery by the Seller
7.1 If the Seller determines that on-time delivery will not be possible, the Seller shall promptly inform the Buyer thereto, in writing. The notice shall state the reason for the delay and, if possible, the estimated date of delivery. If the delay is due to a circumstance prevailing at the Buyer, the Seller shall have the right to a reasonable extension of the delivery date.
7.2 If the Seller is unable to complete delivery on the agreed delivery date, the Buyer shall have the right to a penalty. The penalty shall amount to one (1) percent of the agreed price for such part of the Product to which the delay applies and shall be paid for every seven-day period or part thereof starting on the date delivery should have been made and continuing for the duration of the delay. The maximum penalty shall amount to ten (10) percent of the agreed price for such part of the Product to which the delay applies.
7.3 If the Buyer is entitled to the maximum penalty as set forth in clause 7.2 and has thereafter presented written demand for delivery before a final and reasonable deadline, which shall be no less than fourteen (14) days from the date of such demand, and the Seller has failed to deliver by that date, the Buyer shall have the right to terminate the Contract, in writing. The Buyer’s termination shall not apply to any part of the Contract not affected by the delay.
7.4 If the Buyer terminates the Contract or part of the Contract by reason of the Seller’s delay, the Buyer shall, in addition to a deduction from the price, have the right to compensation for direct loss incurred by the Buyer consequent upon the Seller’s delay to the extent such loss exceeds the amount of any penalty that has been paid to the Buyer. The right to compensation shall not apply to lost profits, production or sales losses, or any other indirect loss or consequential loss. The compensation shall never exceed twenty (20) percent of the agreed price for the part of the Contract that has been terminated. Any claims for damages shall be presented in writing within one month of the date the Buyer presented notice of termination.
7.5 The Seller’s liability for delays shall be limited to that stated in this clause.
8. Delayed acceptance by the Buyer
8.1 If the Buyer determines that the Buyer will be unable to accept the delivery on time, the Buyer shall promptly inform the Seller thereto, in writing. The notice shall state the reason for the delay and, if possible, the alternative date upon which the Buyer can accept the delivery. If the Buyer fails to accept the delivery on the agreed date, the Buyer shall be obliged notwithstanding to remit payment as if the delivery had occurred.
8.2 For the duration of the Buyer’s delay, the Seller shall arrange storage of the Product at the risk and expense of the Buyer. If the Buyer is unable to accept the Product on the agreed date, the Seller shall have the right to a penalty. The penalty shall amount to one and a half (1.5) percent of the agreed price of such part of the Product to which the delay applies and shall be paid for each sevenday period or part thereof starting on the date when delivery should have been made and continuing for the duration of the delay. The penalty refers to e.g., the Seller’s costs for storage and handling. If the Seller’s actual costs due to the Buyer’s delay exceed the accumulated penalty, the Seller shall have the right to reimbursement for such costs. The Seller shall be obliged to arrange insurance cover on the Product while it is in storage by reason of the Buyer’s delay only upon written request by the Buyer and after the Buyer has reimbursed the Seller in advance for the costs of such insurance cover.
8.3 If the Buyer’s delay has continued for more than ten (10) weeks, the Seller shall have the right to present written demand to the Buyer to accept the delivery by a reasonable deadline, which shall be at least fourteen (14) days from the date of such demand. If the Buyer fails to accept the Product by the deadline, the Seller shall have the right to terminate the Contract in writing insofar as applicable to the part of the delivery that could not be completed due to the Buyer’s delay. If the Seller terminates the Contract or part of the Contract by reason of the Buyer’s delay, the Seller shall, in addition to the right to penalty and reimbursement as set forth in clause 8.2 above, have the right to compensation for direct loss incurred by the Seller consequent upon the Buyer’s delay. The compensation shall never exceed the agreed price for the part of the Contract that was terminated.
9. Installation
Professional assembly and installation of the Product shall be arranged by the Buyer and at the Buyer’s expense unless the parties agree otherwise, in writing.
10. The Seller’s liability for defects
10.1 The Seller is proud of the products that the Seller manufactures. The Seller is therefore secure in providing a guarantee of five years from the date of manufacture for all products in the Seller’s ”Leaf Lamp” and “Seamless Table” product series. The Seller can securely provide a guarantee of fifteen years from the date of manufacture for the Seller’s ”Nova C” product series. The Seller provides a guarantee of one year from the original date of delivery for any optional services included in the Product.
10.2 The Seller’s guarantees apply only to defects caused by faults in build, materials, or manufacturing. Faults that arose due to improper installation, inadequate maintenance, accident, carelessness, normal wear and tear, or use other than as intended are not considered defects. The Buyer furthermore understands that application of colour to felt, leather, metal, and wood may cause minor variations depending upon the manufacturing series and that such variations do not constitute a defect in the Product. The Seller’s liability for defects does not cover defects due to materials provided by the Buyer or whose use was instructed by the Buyer or a design that the Buyer ordered or specified. Nor shall the Seller be liable for errors or omissions in marketing materials or general product information.
10.3 The Buyer shall inspect the goods when the Buyer has received the goods.
10.4 In the event of a defect in the Product, the Buyer shall notify the Seller of the defect and lodge a complaint within thirty (30) days of the date the defect became apparent and shall describe the nature of the defect in such complaint. If the parties have agreed that the Seller shall assume the risk for the Product during transport, the Buyer shall, regardless of the foregoing, notify the Seller of damage sustained in transport and lodge a complaint within forty-eight (48) hours of receiving the Product. If the Buyer fails to lodge a complaint as set forth above, the Buyer shall forfeit the right to make a claim due to the defect. That set forth above with regard to defects shall, as applicable, also apply to quantity shortages.
10.5 Within a reasonable time after having received a complaint, the Seller shall, in the manner the Seller deems appropriate and at the Seller’s discretion, remedy the defect either by repairing or replacing the defective component or components of the Product. During the first year of the guarantee period, the Seller shall remedy the defect at the Seller’s expense. Thereafter, the Buyer shall be liable for any assembly or installation costs related to the Seller’s remedy.
10.6 If the Seller does not remedy the defect within a reasonable time, the Buyer shall have the right thereafter to issue a reasonable final deadline for remedy, which shall be no less than fourteen (14) days from the date of such demand. If the Seller fails to remedy the defect by such deadline, the Buyer shall have the right to undertake repairs or demand a price deduction commensurate with the defect. If the defect is material, e.g. the defect deprived the Buyer of the principal benefit that the Buyer could reasonably have expected of the Product, the Buyer shall have the right, instead of undertaking repairs, to terminate the Contract, in writing, as regards the defective part of the delivery. If the Buyer terminates the Contract or part of the Contract with reference to a defect in the Product, the Buyer shall, in addition to a price deduction, have the right to compensation for the direct loss incurred by the Buyer consequent upon the defect. The right to compensation does not extend to lost profits, production or sales losses, or other indirect losses. The compensation shall never exceed fifty (50) percent of the part of the agreed price attributable to the part of the Contract to which the termination refers.
10.7 The Seller’s liability for defects is limited to that set forth in this clause. That set forth above with regard to defects shall, as applicable, also apply to quantity shortages.
11. Intellectual property
11.1 No part of the Contract grants or implies a transfer or conveyance of intellectual property or know-how of any kind. Suggestions, sketches, designs, drawings, and other information provided by a party shall remain the property of that party and shall not be used without the consent of that party for any purpose other than that for which the information was provided in accordance with the Contract and shall not be duplicated, provided to, or otherwise disclosed to a third party.
11.2 The Buyer shall compensate the Seller for all losses, demands, costs, and expenditures consequent upon infringement or alleged infringement of patent, copyright, trademark protection, design protection, or other intellectual property committed by the Seller as a consequence of the Seller’s compliance with the Buyer’s instructions, specifications of measurements, drawings, requirements, adaptations, or specifications regarding the build, execution, or the equivalent, of the Product
12. Force majeure
12.1 If a party, or a subcontractor to a party, is prevented from performing the Contract as a consequence of an event beyond its control (including but not limited to strike, fire, flood, extreme weather, natural disaster, war, uprising, invasion, vandalism, sabotage, riot, terrorism embargo, scarcity of means of transport, general scarcity of goods, or new legislation) and which event could not reasonably have been foreseen when the Contract was made, the party shall be released from liability to perform the Contract. As soon as the grounds for release no longer exist, performance in accordance with the Contract shall be resumed. If performance with reliance upon this clause is delayed by more than six (6) months, either party shall have the right to terminate the Agreement with immediate effect.
12.2 A party that wishes to invoke grounds for release as set forth above shall promptly notify the other party thereto, in writing.
12.3 A party shall not be liable for damage or loss that may arise as a consequence of postponement of the party’s performance with reference to clause 12.1 above. Notwithstanding the foregoing, the Buyer shall always be obligated to compensate the Seller for the costs incurred by the Seller to secure and/or protect the Product if grounds for release in accordance with clause 12.1 prevent the Buyer from accepting delivery.
13. Limitation of liability
Notwithstanding that provided in the Contract otherwise, the Seller’s total liability to pay compensation or damages for a particular Product or the Contract otherwise shall not exceed the original contracted price for the relevant Product and shall exclude compensation for personal injury unless required under mandatory law, costs related to operational downtime, loss of income or profits, costs of capital, lost use of equipment, increased operating costs, or any indirect loss or consequential loss whatsoever.
14. Subcontractors
The Seller shall have the right to engage subcontractors to perform the Seller’s obligations under the Contract.
15. Personal data
15.1 In connection with performance of the Contract, information, including personal data, about the Buyer or the Buyer’s physical representatives may be processed by the Seller.
15.2 The Seller respects the privacy of the Buyer and the Buyer’s physical representatives and complies with all data protection legislation.
15.3 All processing of personal data shall comply with the Seller’s Data Policy. The policy is available on the Seller’s website: www.greenfc.com. The Seller’s Data Policy describes how and why personal data is obtained, used, transferred, or otherwise processed, as well as the rights of data subjects and how data subjects can assert their rights.
16. Transfer of the Contract
The Buyer shall not transfer its rights or obligations under the Contract to another party without the consent of the Seller.
17. Governing law and disputes
17.1 The Contract shall be governed by Swedish law, except with regard to international rules of private law.
17.2 Unless expressly stated in the Contract that disputes shall be adjudicated by a general court of law, any dispute, controversy, or claim arising out of or in connection with the Contract shall be finally settled by arbitration administered by the Arbitration Institute of the Stockholm Chamber of Commerce (SCC).
17.3 The Rules for Expedited Arbitrations shall apply, unless the SCC in its discretion determines, taking into account the complexity of the case, the amount in dispute and other circumstances, that the Arbitration Rules shall apply. In the latter case, the SCC shall also decide whether the Arbitral Tribunal shall be composed of one or three arbitrators. The seat of arbitration shall be Malmö, Sweden. The language to be used in the arbitral proceedings shall be Swedish.
17.4 Notwithstanding that set forth in clause 17.2 above, a party shall always have the right to bring action in a general court of law if the subject of the dispute is obviously less than ten (10) price base amounts in accordance with the Swedish Social Insurance Code (Swedish statute 2010:110) at the date the dispute arose. A party shall furthermore always have the right to take legal action through the Swedish Enforcement Authority or a general court of law regarding an indisputable receivable or other claim.
17.5 If a dispute is to be settled by a general court of law, proceedings shall be instituted at the Malmö District Court as the court of first instance.
